http://en.tldp.org/HOWTO/Kernel-HOWTO/ - tldp version of rolling your own kernel, been removed for review but another version can be located at http://www.digitalhermit.com/linux/Kernel-Build-HOWTO.html

these should be good for starters, also once you untar and uncompress the linux kernel there is loads of documentation that actualy comes with it, I'd recomend you read through it.

I am developing a driver for properitory h/w in kernel 2.6 , but my client has linux 2.4.
will there be any issues in porting 2.6 application in 2.4 kernel

There could be. What you say your doing does'nt make a lot of sense. You'll likely need to develop for both kernels.
